Responsibility for Business Transactions: Jarbly LLC disclaims any responsibility for anything that occurs before or after a business transaction is introduced, including any damage to the business or brand, changes to financials, marketing efforts, or business operations. If a seller decides to convert a transaction into a partnership, this should not be considered a sale of a minority interest but rather as an active stakeholder position, which is to be treated as a consulting arrangement only. Brokering Terms of Use

By using Jarbly LLC’s services, you agree to the following terms:

  1. Due Diligence
    Buyers and sellers are solely responsible for performing all due diligence, and Jarbly LLC does not verify the accuracy or completeness of any business-related information.
  2. Consulting Fees
    Any fees related to introductions and advisory services are strictly consulting fees and do not relate to commissions from securities transactions.
  3. Broker Intermediary Role
    Jarbly LLC is an intermediary and makes no representations regarding the details or outcome of business transactions. We do not accept responsibility for the success or failure of any transaction.
  4. Confidentiality
    We will protect sensitive information as best as possible, but confidentiality cannot be fully guaranteed.
  5. Binding Effect: These terms are binding and apply to both parties, including their heirs, successors, and assigns.
  6. Seller’s Representations: Sellers must provide accurate and complete information and disclose any material facts that may affect the sale or valuation of their business. Sellers represent that they have the authority to sell the business and will work with Jarbly LLC as the exclusive broker during the contract period, as outlined in any agreements.
  7. Broker Representation: Jarbly LLC will use its best efforts to represent the seller and negotiate with buyers but does not assume responsibility for any representations made by the seller or buyer.
  8. Confidentiality: Sellers should indicate any information they wish to keep confidential. Jarbly LLC will attempt to protect such information to the extent possible, though confidentiality cannot be fully guaranteed in the public listing process.
  9. Co-Broker Authorization: Jarbly LLC may collaborate with co-brokers or attorneys, if required, based on the location of the business or real property, but party shall cooperate to make sure Jarbly LLC is compensated for its efforts as it pertains to finder introductions.
  10. Legal Compliance: This Agreement is governed by the laws of the State of Florida. Any disputes must be addressed through mediation with the American Arbitration Association before any legal proceedings may begin.

Acceptance of Terms
