{"id":3236,"date":"2022-10-07T02:46:43","date_gmt":"2022-10-07T02:46:43","guid":{"rendered":"https:\/\/jarbly.com\/enterprise\/?p=3236"},"modified":"2023-07-05T12:36:17","modified_gmt":"2023-07-05T12:36:17","slug":"benefits-of-an-earnout","status":"publish","type":"post","link":"https:\/\/jarbly.com\/enterprise\/benefits-of-an-earnout\/","title":{"rendered":"Benefits of an Earnout"},"content":{"rendered":"<p class=\"p1\"><span class=\"s1\">When you are acquiring a business, there\u2019s two avenues to approach it with.<\/span><\/p>\n<p class=\"p1\"><span class=\"s1\">Buy the business outright and get it for a better deal with all cash upfront. <\/span><\/p>\n<p class=\"p1\"><span class=\"s1\">Or acquire it at a bigger price with money down and the rest as an earnout. <\/span><\/p>\n<p class=\"p1\"><span class=\"s1\">The earnout allows you to acquire a business and stretch payments over time, building you runway to build the business and enhance it beyond what you acquired it at.<\/span><\/p>\n<p class=\"p1\"><span class=\"s1\">It obviously can be troublesome to have to owe somebody but you allow yourself time to build the business by pouring some capital in to the growth of the business.<\/span><\/p>\n<p>An earnout can be done in several ways.<\/p>\n<p>One is a guaranteed earnout paying out $X over Z months.<\/p>\n<p>Another is a performance based earnout where you participate in the % of sales.<\/p>\n<p>Another type of earnout is where you collect in a % of sales or profits that go above baseline.
